These Terms of Service ("Terms") govern your use of scientificlaboratory.com (the "Site") and your purchase of products from Scientific Laboratory Services ("Scientific Laboratory Services," "we," "us," or "our"). By using the Site or placing an order, you agree to these Terms. If you are placing an order on behalf of a laboratory, clinic, hospital, university or other organization, you confirm that you have authority to accept these Terms on its behalf. If you do not agree, please do not use the Site or place an order.

1. Who We Are

Scientific Laboratory Services manufactures and sells products for the transport and storage of biological samples, including the LABVAC-PRO 360 vacuum sealing system, vacuum seal rolls and bags, specimen transport bags and IATA transport kits. We are located at 4400 East Charter Oak Road, Guthrie, Oklahoma 73044.

2. Eligibility and Professional Use

Our products are designed for use by laboratories, healthcare providers, research institutions, veterinary practices and other professionals who handle biological specimens. By placing an order, you confirm that:

• You are at least 18 years old and able to enter into a binding contract.
• You are purchasing for professional, clinical, research or business use.
• You, or the people using the products in your organization, are trained to handle biological specimens safely and in line with your institution's procedures.

We may decline or cancel any order at our discretion, including orders we believe are not intended for professional use.

3. Products and Intended Use

Each product is intended to be used only as described in its product listing, label and any instructions we provide. You are responsible for:

• Selecting the right product, size and quantity for your application.
• Validating that a product is suitable for your specimens, protocols, storage conditions and quality requirements before relying on it.
• Following all operating instructions, including those for the LABVAC-PRO 360 and its compatible seal rolls and bags.
• Handling, storing and disposing of specimens and used materials in line with applicable biosafety and waste regulations.

Our products are not intended for food storage, for personal or household use, or for any use not described in their product information.

4. Specimen Shipping and Regulatory Responsibility

Our specimen transport bags and IATA transport kits are designed to support compliant packaging of biological specimens when used as directed. However, compliance of any individual shipment depends on how it is packed, marked, labeled, documented and handed to the carrier, which is outside our control.

The shipper (you) remains responsible for:

• Correctly classifying each specimen (for example, UN3373 Biological Substance, Category B, or exempt specimens).
• Meeting all applicable requirements, including the IATA Dangerous Goods Regulations, U.S. Department of Transportation Hazardous Materials Regulations (49 CFR), carrier requirements and any international, state or local rules.
• Making sure anyone preparing shipments has the training those regulations require.
• Using the complete packaging system as required, including primary receptacles, absorbent material, secondary packaging and rigid outer packaging where applicable.

Information on the Site about regulations is provided for general guidance only. It is not legal or regulatory advice and does not replace the current published regulations or your carrier's requirements.

5. Product Information and Pricing

We work to keep product descriptions, images, specifications and prices accurate. Occasionally an error may occur. We reserve the right to correct errors, update information and change prices at any time without notice. If an order was placed at an incorrect price, we will contact you before shipping and you may choose to proceed at the correct price or cancel for a full refund.

All prices are in U.S. dollars and do not include taxes or shipping unless stated otherwise. Promotional discounts, such as first-order offers, apply only as described in the offer and cannot be combined unless stated.

6. Orders, Quotes and Bulk Purchases

Your order is an offer to buy. We accept it when we ship the products or send you a shipping confirmation. An order confirmation email confirms that we received your order, not that we accepted it. We may limit quantities or cancel an order because of product availability, pricing errors, suspected fraud or other reasons. If we cancel after you have been charged, we will refund the full amount.

For bulk orders, standing orders or institutional pricing, please use our Contact page. Written quotes are valid for the period stated on the quote. If no period is stated, quotes are valid for 30 days. Where a signed purchase agreement exists between you and us, that agreement controls in the event of a conflict with these Terms. Terms printed on your purchase orders do not apply unless we agree to them in writing.

7. Payment and Taxes

Payment is due at the time of order unless we have agreed to other terms in writing. Payments made on the Site are handled by a third-party payment processor. We do not store full card numbers. You confirm that you are authorized to use the payment method you provide.

You are responsible for applicable sales and use taxes. If your organization is tax-exempt, please send a valid exemption certificate before ordering. We cannot apply exemptions retroactively.

8. Shipping and Delivery

We ship within the United States. For shipments outside the U.S., please contact us before ordering. Shipping and processing times shown on the Site are estimates, not guarantees. Title and risk of loss pass to you when we deliver your order to the carrier. We will help you file a claim with the carrier if a package is lost or damaged in transit.

Please inspect your order when it arrives. Report any damage, shortage or incorrect item to us within 5 business days of delivery, with your order number and photos where possible. Claims reported after that time may not be accepted.

9. Returns and Refunds

Unopened products

You may return unopened, unused products in their original packaging within 30 days of delivery. Please contact us first at sales@scientificlaboratory.com to receive return instructions. Returns sent without contacting us may not be accepted. Unless the return is due to our error, you are responsible for return shipping costs, and original shipping charges are not refundable.

Opened consumables

To protect product integrity and prevent contamination, opened or used consumables, including specimen transport bags, transport kits, and vacuum seal rolls and bags, cannot be returned unless they are defective or we shipped the wrong item.

Defective or incorrect items

If a product arrives defective or we shipped the wrong item, contact us within 30 days of delivery. We will replace the product or refund the purchase price, and we will cover return shipping.

Refunds

Approved refunds are issued to the original payment method within 10 business days after we receive and inspect the returned products. Your bank or card issuer may take additional time to post the credit.

The LABVAC-PRO 360 is also covered by the one-year guarantee described in Section 10.

10. LABVAC-PRO 360 One-Year Guarantee

The LABVAC-PRO 360 vacuum sealing system comes with a one-year money-back guarantee. If you are not satisfied with your unit, or it fails to perform as described when used according to its instructions, contact us within one year of the delivery date. We will repair or replace the unit, or refund the purchase price of the unit.

To use the guarantee:

• Contact us with your order number and a short description of the issue before returning the unit.
• Return the unit with its included accessories, in the original or equivalent protective packaging.
• Clean and decontaminate the unit before shipping it. Units that show contamination or biological residue will not be accepted.

The guarantee does not cover damage caused by misuse, accidents, unauthorized modification or repair, use contrary to the operating instructions, or normal wear of replaceable parts. It applies to the original purchaser only and does not cover consumables such as seal rolls and bags. The refund amount is limited to the price paid for the unit, excluding shipping and taxes.

11. Disclaimer of Warranties

Except for the express guarantee in Section 10 and the defective-product remedy in Section 9, the Site and all products are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any product will be suitable for your particular specimens, protocols or regulatory requirements, or that the Site will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, Scientific Laboratory Services will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss or degradation of specimens or samples, loss of research or test data, repeated testing or collection costs, lost profits, or business interruption, even if we were advised of the possibility of such damages. Our total liability for any claim relating to a product or these Terms will not exceed the amount you paid for the product that gave rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to defend, indemnify and hold harmless Scientific Laboratory Services and its owners, employees and agents from any claims, losses, fines, penalties or expenses (including reasonable attorneys' fees) arising from your misuse of our products, your shipments of specimens, your failure to comply with applicable laws or regulations, or your breach of these Terms.

14. Accounts and Site Use

If you create an account, you are responsible for keeping your login information confidential and for all activity under your account. Please notify us promptly of any unauthorized use.

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Site, its systems or other users' accounts.
• Interfere with the Site's operation, including by introducing malware or overloading it with automated requests.
• Copy, scrape or republish Site content for commercial purposes without our written permission.

The Site may link to third-party websites. We are not responsible for their content, products or practices.

15. Intellectual Property

All content on the Site, including text, product descriptions, images, graphics, logos and product names such as LABVAC-PRO 360, is owned by Scientific Laboratory Services or its licensors and is protected by intellectual property laws. You may view and print Site content for your own internal business use, such as evaluating or ordering products. Any other use requires our written permission.

16. Privacy and Protected Health Information

Our Privacy Policy explains how we collect and use your information and is part of these Terms.

Our website and online store are not designed to receive protected health information (PHI) or patient data. Please do not include patient names, identifiers or other PHI in order notes, contact forms, emails or live chat. If your organization requires a Business Associate Agreement for a specific service, contact us before sharing any PHI.

17. Events Beyond Our Control

We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, carrier delays, supplier shortages, labor disputes, power or internet outages, government actions, or public health emergencies.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Any dispute arising from these Terms, the Site or your purchases will be brought exclusively in the state or federal courts located in Oklahoma, and you consent to the jurisdiction of those courts. Before filing any claim, we ask that you contact us so we can try to resolve the issue informally.

19. General Terms

• Changes. We may update these Terms at any time by posting a new version with a new "Last Updated" date. Changes apply to orders placed and Site use after the update.
• Entire agreement. These Terms, our Privacy Policy and any order confirmation or signed agreement between us make up the entire agreement for your use of the Site and purchases.
• Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.
• Assignment. You may not transfer your rights under these Terms without our written consent.
